挾席次優勢，彰銀與台新金合併研究小組闖關成功

挾著常董多數席次優勢，彰銀(2801)大股東台新金(2887)在該行常董會上，通過成立與台新金合併研究工作小組。

今年台新金股東常會上，針對與彰銀的整併案，小股東阿土伯就曾要台新金董事長吳東亮要「亮」起來，並在臨時動議時通過，授權吳東亮必要時採取行政訴願或循司法途徑，以求整併案的進展。

而彰銀28日常董會召開之前，就傳出台新金代表有意提案成立合併研究小組，今日果真由台新金派任的彰銀董事長陳淮舟提出，在台新金掌握彰銀3席常董的2席優勢下，通過該提案，彰銀將合併研究工作小組，研究案一旦出爐，將送彰銀董事會表決。

不過，今日持反對意見的財政部推舉獨立董事代表梁國源，意見也將列入董事會會議紀錄。
而財政部昨日也發函力陳合併案「不宜」在常董會討論，但台新金強調，一切依法辦理，「董事會休會期間，常董會就是代理單位」。
